CONTRACT No. 080-______________ FOR PROVIDING MEDICAL SERVICES ON COLLECTING UMBILICAL BLOOD, PRODUCTION AND STORAGE OF STEM CELLS CONCENTRATE

«MD Project 2000” CJSC (Closed Joint-Stock Company) with License “License” No. 77-01-000946 issued on 08/12/2005, hereinafter referred to as “Contractor” in the person of its Chief Executive Officer Valery Evgenievitch Mironov acting  pursuant to the basis of the Charter, of the one part and Mrs. _____________________ resident at _____________________________________________________________, hereinafter referred as “Patient” of the other part, together referred to as “Parties”, have concluded the present Contract on the following:

1. SUBJECT OF THE CONTRACT
1.1.  The Customer entrusts, and the Contractor assume obligations on providing medical services to such extent, in such manner and under such terms as envisaged by the Contract, and the Customer is obliged to pay for the medical services in such manner and under such terms as envisaged by the Contract.
1.2.   Medical services, according to the present Contract include:
1.2.1. Collection of umbilical blood of the Customer’s child during delivery;
1.2.2. Testing of umbilical blood of the child for the presence of germs of dangerous viral and bacterial infections;
1.2.3. Production of stem cells’ concentrate from umbilical cord blood of the child
1.2.4. Cryogenic personalized storage of stem cells concentrate;
1.2.5. Release of stem cells concentrate of the child according to request of the Customer or to the child, upon him reaching lawful age.
1.3.     Medical services according to the present Contract are rendered to the Customer in the Perinatal Medical Centre (further named as “PMC”), at the following address: Moscow, Sevastopolsky prospect, 24, Block 1.
1.4. Period of cryogenic storage of stem cells concentrate is determined by the Customer and paid according to the Price-List, depending on the duration of the storage period.
1.5. The Parties have agreed, as material term of the present Contract, that the Contractor in case there are respective medical indications and (or) wishes of the Customer  to render medical services, not under Item 1.2 of the present Contract  (hereafter, “Additional Services”), with the increase of cost of medical services according to the Contract. Provided that, the Customer’s consent for providing Additional Services and increase of the contractual cost of medical services is regarded as granted while using (providing) Additional Services.

2. TERMS OF providing MEDICAL SERVICES
2.1. The grounds for providing the PMC Services are as follows:
-    Valid license for respective kinds of medical activity.
-    Voluntary desire of the Customer to receive PMC Services for payment, confirmed by signing the Contract on the part of the Customer.
-  Pursuance of laboratory examinations and tests of blood of mother of a future child for germs of dangerous viral and bacterial infections until the delivery according to the list, specified in Attachment No.1 to the present Contract.
-  Availability of informed voluntary agreement of future child’  parents on collection   of umbilical blood, production of stem cells concentrate  and  storage of stem cells concentrate  (Attachment No. 3 to the Contract)
-    Submitting by the Customer of identification documents with full name, age, information of the ID, place of living and (or) staying, as well as information about the place of actual living.
-   Payment by the Customer for medical services as determined by the present Contract.
-    Implementation by the Customer of conditions and obligations according to the present Contract.
2.2. The Contractor renders the present Contract in compliance with the diagnostics, prophylactics and treatment permitted on the territory of Russian Federation.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. The Contractor is obliged to:
3.1.1. Render qualified medical services in accordance with the terms of the present Contract.

3.1.2.   Provide the Customer with necessary information, regarding medical services and implementation of the present Contract.
3.1.3.   On the Patient’s written request provide her with adequate and free information about the official address of the Centre (its public registration address), list of paid Medical Assistance procedures with actual prices and conditions of providing them, as well as information about the specialists’ background and certificates, no later than within 7 days after the date of the request.

3.1.4. Abide by the principle of medical secrecy; do not divulge information, which contains medical secrecy (information about the fact of applying for medical help, conditions of health, diagnosis and other information received during providing medical services).
3.1.5. Implement collection of umbilical blood of the Customer’s child during delivery.
3.1.6. Implement production of stem cells from umbilical cord’ blood of the Customer’s child, its treatment and freezing for further prolonged cryogenic storage of the stem cells concentrate.
3.1.7. Implement identification and individual marking of stem cells concentrate.
3.1.8. Implement quarantine storage for stem cells concentrate.
3.1.9. Implement testing of child’s umbilical blood for germs of dangerous viral and bacterial infections, for nuclear containing cells and CD34+ cells, for infertility and adaptability toward prolonged cryogenic storage.
3.1.10.  Implement storage of stem cells concentrate in cryogenic storage bank, and issue to the Customer passport for the stored stem cells concentrate with its unique identification number and  examination results of the umbilical blood no later than 30 (thirty) days from the date of placing stem cells concentrate to the cryogenic storage bank.
3.1.11. Issue the stored stem cells concentrate to the Customer as under Item 3.4.2 of the present Contract.
3.1.12. Implement transportation of stem cells concentrate according to the Customer’s instructions in Moscow according to the terms of payment by the Customer of the cost of transportation services at the date OF PROVIDING SERVICES.

3.2. The Contractor has the right to:
3.2.1. Upon the Customer’s wish render additional services with the cost increase in addition to medical services, according to the present Contract.  
3.2.2. Engage Consultant Specialists from other areas of medical expertise.

3.2.3. Discard according to the appropriate procedure the collected umbilical cord blood and/or stem cells concentrate, which have virus, bacterial or mucous infections.
3.2.4. Deny the cryogenic storage of stem cells concentrate and discard it in case of not implementation or inappropriate implementation by the Customer of her obligations to pay for medical services of the Contractor for storage of stem cells concentrate at terms envisaged by the present Contract.
3.2.5. Terminate unilaterally the present Contract on grounds, specified by Item 5.3 of the present Contract.
3.2.6.   Exercise other rights as defined by the norms of active legislation.

3.3. The Customer is obliged to:

3.3.1.   Provide the Contractor with necessary and actual information about her health and health of close relatives, as well as about any pathology in anamnesis, past  or present diseases, infections, bad habits, gestation course,  providing accurate and complete information in the anamnesis of mother and  child (Attachment No. 2 to the present Contract).
3.3.2. Provide voluntary informed consent in writing for the collection of umbilical blood of the child, production of stem cells concentrate and storage of stem cells concentrate (Attachment No. 3 to the present Contract).
3.3.3. Provide examination of blood of the child’s mother for germs of dangerous viral and bacterial infections, according to the list (Attachment No.1) before the delivery and   submit to the Contractor the results of examinations and tests (according to standard form, Attachment No.1).
3.3.4. Timely pay to the Contractor the cost of medical services as per terms, envisaged by the present Contract.
3.3.5. Pay annual fee for cryogenic storage of the stem cells concentrate no later than 45 (forty five) days before the date of paid calendar time of storage expires.
3.3.6. Perform other duties, defined by Russian active legislation and by the present Contract.
3.4. The Customer has the right to:
3.4.1.    Require qualified Medical Assistance, information on the License availability and other information, determined by the norms of active legislation.
3.4.2.  The Customer, being a legitimate representative of the child (parent, guardian, trustee), as well as the child upon reaching lawful age, have the right to receive any time during the enaction of the present Contract the stored stem cells  concentrate from the Contractor during the period of 48 hours, since the time of the Contractor receiving a written request  from the Customer. 
3.4.3. Execute other rights defined by the norms of active legislation.

4. PRICES AND PAYMENT PROCEDURE 

4.1.   Cost of Medical Services, according to the present Contract is __________ (_____________________________________________________) roubles, from which:
-  80000 (eighty thousand) roubles is the cost of Medical Services for collection of umbilical blood, production, testing, cryopreservation and storage placement of stem cells
-  ___________ (__________________________________________________) roubles is the cost of storage of stem cells concentrate  for the period of _____(___________) year/years from the date of delivery.
4.2. The ensuing cryogenic storage of stem cells concentrate is paid additionally by the Customer for every subsequent calendar year (or other period) of storage, according to the Contractor’s Price List active at the moment of payment. 
4.3. Payment of Medical Services according to the present Contract  is made by the Customer as 100 % advance payment at the day of signing the present Contract or otherwise, according to the written accord between the parties. Settlement of services is made by the Customer by paying cash to the Contractor’s cash desk, by credit card or by money transfer to the Contractor’s account.
4.4. The Parties have agreed, that the money, paid by the Customer for providing Medical Services according to the present Contract are subject for returning by the Contractor  in the following instances and  following amount:
4.4.1. In case the collection of the child’s umbilical blood is not made due to contraindications, specified in Item 1 of Informed Voluntary Agreement (Attachment No. 3 to the present Contract). The sum of received payment is returned to the Customer with retention of the Contractor’s expenses at the amount of 15 % of the cost of medical services which includes collection of umbilical blood, production, testing, cryogenic conservation and storage of stem cells.
4.4.2. In case the collection of the child’s umbilical blood is made, but production of stem cells concentrate is not done due to medical conclusion on impossibility (inexpediency) of the procedure, the sum of received payment is returned to the Customer with retention of the Contractor’s expenses at the amount of 25 % of the cost of Medical Services, which includes collection of umbilical blood, production, testing, cryogenic conservation and storage of stem cells.

4.4.3.  In case of collection of the child’s umbilical blood  and the production of  stem cells concentrate are made, but the placement of stem cells concentrate  to prolonged cryogenic storage   is not performed due to medical indications,  the sum of received payment is returned to the Customer with retention of the Contractor’s expenses at the amount of 50 % of the cost of Medical Services, which includes collection of umbilical blood, production, testing, and cryogenic conservation, as well as cost  of actual  period of storage of stem cells concentrate.
4.5. The Parties have agreed that if the Customer has not made advance payment for Medical Services according to the Contract at the amount, specified by Item 4.1 of the present Contract and on the day of signing the present Contract, then he is to pay the Contractor the following sum:

4.5.1. 15 % of cost of Medical Services, which includes collection of umbilical blood, production, testing, cryogenic conservation and storage of stem cells, if collection of the child’s umbilical blood is not made due to contraindications, specified in Item 1 of Informed Voluntary Agreement (Attachment No. 3 to the present Contract).
4.5.2. 25 % of cost of Medical Services, which includes collection of umbilical blood, production, testing, cryogenic conservation and storage of stem cells, if the child’s umbilical blood is collected, but production of stem cells concentrate is not done due to medical conclusion on impossibility (inexpediency) of the procedure.
4.5.3. 50 % of cost of Medical Services, which includes collection of umbilical blood, production, testing, and cryogenic conservation, and storage of stem cells, as well as cost of actual period of storage of stem cells concentrate, if the collection of the child’s umbilical blood and the production of stem cells concentrate are made, but the placement of stem cells concentrate to prolonged cryogenic storage   is not performed due to medical indications.
4.6. The Parties have agreed that according to the essential condition of the present Contract, in case the Customer received the stem cells concentrate for transplantation or any other purpose before the paid term of the concentrate cryogenic storage is over, the money paid is not returned to the Customer according to the Contract.
4.7. In case of providing additional services by the Contractor to the Customer, including those, under Item 3.1.12 of the present Contract, the Customer is to pay for Additional Services the price according to the Contractor’s Price List active at the moment of payment. 
4.8.  The Medical Services (in full or in part) according to the present Contract  can be paid for the Customer by any other person, and it will be considered as payment for the Medical Services  for the Customer, and  will not be considered as grounds for providing  the Medical Services to the person, who made the payment.
 
5. THE CONTRACT TERMS AND PROCEDURE FOR TERMINATION

5.1 The present Contract comes into power since “___”________________200___   and acts till the parties fulfil their obligations according to the present Contract, or the Contract is terminated in case of its anticipatory repudiation/termination.
5.2. The Customer at any time has the right to unilaterally repudiate the present Contract on conditions that she informs the Contractor about such intention no later than two months before the supposed date of the Contract termination.  The Customer is to pay to the Contractor the cost of actually rendered Medical and Additional Services at the moment of the Contract’ repudiation, as well as compensation for anticipatory repudiation of the Contract at the amount of 15 %  of the cost  of Medical Services, according to the present  Contract (Item 4.1). Following that provision, money paid by the Customer is returned by the Contractor with the deduction of the cost of already rendered Medical Services and also of compensation for anticipatory repudiation of the Contract.
5.3. The Contract can be terminated by the Contractor unilaterally in the following instances:
 Violation by the Customer of payment Directive and period for the Medical Services;
 According to the conditions, determined by Item 3.2.3.
5.4.   In case of early termination of the Contract by the Contractor, the paid money is returned with the deduction of the cost of already rendered Medical Services and actual expenses by the Contractor for fulfilling terms and conditions of the present Contract.
5.5. Settlements, defined by Item 5.2-5.4 are made no later than within 45 (forty five) working days after termination of the Contract by one party.

6. LIABILITY OF THE PARTIES
6.1. In case of improper execution of the Contract by one of the Parties leading to unfavourable consequences for another Party, there is liability pending according to the active legislation.
6.2 The Contractor does not bear responsibility for procedures or services, rendered to the Customer by third parties, including laboratory examinations and tests, transportation, storage or usage of samples in process of transplantation.
6.3. In case of violations of the date of payment for Medical Services according to the present Contract and (or) for Additional Services, the Customer pays to the Contractor   penalty at the amount of 0.05 % from the sum of the payment overdue for every day of arrears.
6.4. In case of  violations of the date of payment for Medical Services according to the present Contract regarding storage of stem cells concentrate  for the period of more than 3 (three)  months, the present Contract term is terminated and  the Contractor has the right to stop  cryogenic storage of stem cells concentrate, and discard the stem cells concentrate .
6.5. The Parties are relieved of responsibility for partial or complete failure to fulfil obligations, if it happened as a result of the Act of God. Such circumstances are recognized by the active legislation as extraordinary and irresistible. The Parties are also excused from liability for partial or complete failure to fulfil obligations, if force majeure circumstances appear/are present which cannot be properly forecasted, diagnosed or prevented under present state of medical science and practice.  The Parties are to inform each other of appearance or termination of such circumstances no later than 14 (fourteen days) after their start or termination.
 
6.6. If force majeure circumstances continue for over 2 (two) months, each Party has the right for anticipatory repudiation of the present Contract according to the condition of making settlements between the Parties.

7. FINAL PROVISIONS
 
7.1. All disputes and differences are to be settled by the Parties mutual accord or in courts according to the Russian legislation in case they are not resolved within one month.

7.2. The present Contract is done in valid duplicate originals, one for each Party.
7.3. The Parties should timely inform each other about changes of address or other details. In case such requirement is not followed, the mail sent to old address, is regarded as delivered.
7.4. The following documents are attached to the present Contract being its inseparable part:
-  Attachment No. 1 – List and information about results of required laboratory examinations and tests of mother’s blood;
-  Attachment No. 2 -  Anamnesis of mother and child’s family;
-  Attachment No. 3 -  Informed consent with collection of the child’s umbilical blood, production of stem cells concentrate and storage of stem cells concentrate;
-  Attachment No. 4 – Consent with/denial from separation of umbilical blood for further production of two stem cells concentrates.

Record No. _______________________________, in accordance with Article 32 of the Russian legislation on health protection, dated July 22 1993 N 5487-1 with the present statement, express my (our) voluntary informed consent for collection of the child’s umbilical blood during the delivery in the Prenatal Medical Centre «MD PROJECT 2000» CJSC  (hereinafter PMC), and ensuing production of stem cells concentrate, as well as storage of stem cells concentrate in the PMC Bank of Stem Cells.
 
1. I (We) are informed by a doctor that:
-  Stem cells are cells of earlier stages of growth, and have potential for multiple fission and transforming into  various types of mature  cells (skeletal, muscular, nervous tissues, etc);
-  Umbilical blood is one of the sources of stem cells, and their transplantation is progressive treatment of some hereditary and acquired illnesses.
-  Usage of stem cells is intensively studied at present time in various branches of medicine as a result their area of application can significantly be expanded.
-  Transplantation of stem cells and collection of stem cells from umbilical blood can be made if necessary to a child or the child’s family members, with the condition that parameters of the child’s cells and a sick family member match.
-  Collected and stored stem cells of the child may not be required for treatment of the child or his family members;
-  Obligatory and complete testing of the mother’s blood prior to delivery for germs of dangerous viral and bacterial infections (Attachment No. 1 to the Contract)
I (We) are informed by a doctor that there are following contraindications for collection of umbilical blood:
-  Tumours of placenta;
-  Conditions of child, requiring emergency aid;
-  Acute infectious diseases of mother during delivery;
-  Oncologic diseases of mother, including stage of remission;
-  Administration of antitumoral drugs;
-  Actual Delivery with the mother‘s gestational age of less than 34 weeks;
-  Stillbirth or intrauterine death of fetus;
-  Prenatal detection of the following parameters in the mother‘s blood: Hbs Ag, Anti-HCV, Anti-HIV-1 and  2 (in accordance with Directive of Russian Ministry of Health No. 325, dated 25.07.2003 «On Development of Cellular Technologies in Russia»)
-  Detected dangerous virus infections in the blood of a future child’s mother can be discovered in collected umbilical blood, and the usage of (transplantation) stem cells concentrate produced from it, is not envisaged at present.

2. We were given explicit explanations that:
À. Process of production of stem cells from umbilical blood consists of the following stages:
-  Collection of umbilical blood is performed directly in the maternity ward right after child birth, crossclamping of umbilical cord and separation of child placenta, no later than 15 minutes after child birth. In case of multifetation the procedure of collection is made only after birth of the last child. Collection of umbilical blood is performed in free flowing mode during and after separation of placenta without additional manipulations with observing rules of aseptics by paracentesis of umbilical cord vein in closed-circuit system for collection of umbilical blood. Volume of collected umbilical blood is to be no less than 45 mL.
-  Transportation of umbilical blood to the Bank of Stem Cells for production and cryogenic storage of stem cells is performed under temperature of 18-25 degrees Celsius and during period of not more than 48 hours.
-  Procedures like:
production of stem cells, during which the control of amount of umbilical blood collected  is made;
collection of samples for testing umbilical blood for determining blood group, Rh-factor, HIV, hepatitis  and  C, HTLV-1 and  2, CMV;
examinations for infertility, nuclear containing cells and CD34+ cells
 are performed in “Sepax” automatic unit with production of 25 mL of umbilical blood concentrate, containing stem cells. The concentrate is transferred to a freeze bag, which in its turn is placed into a sealed Teflon container with stamping of a unique bar code and feeding relevant data to a computer.
Legal representative of a child gets a passport of umbilical blood concentrate with proper identification number and results of blood examination.
B. Storage of stem cells concentrate is made according to Code of Service of   patient-specific storage in liquid nitrogen under temperature of minus 196 degrees Celsius, which allows for preserving cells vitality for many years.
C. Before receiving the results of testing, samples of umbilical blood stem cells concentrate are in quarantine. In case of detection of viruses, bacterial and mucous contamination and a small number of CD34+ cells, the sample is discarded.
D. Issue of stem cells concentrate is performed according to personal appeal of a child legal representative or the child himself upon him reaching the lawful age. The concentrate is issued on frozen and in a special pack, consisting of cryogenic pack, Teflon bag and metal canister.
E. Further transportation of stem cells concentrate is permitted only in special cryogenic containers, in vapours of liquid nitrogen and under temperature not exceeding 120 degrees Celsius.
F. The refreezing of cells after unfreezing is not permitted.
G. In case the child legal representative or the child himself refuses from further storage of stem cells concentrate in a personal mode, as well as in case of not paying for storage services, the concentrate is taken from cryogenic storage and is duly discarded.

3.) I (We) have informed the doctor:
-  that I do not have conditions of health and illnesses, which form contraindications for collecting umbilical blood and producing stem cells concentrate.
-  about the known to me (us) information on the conditions of health, hereditary, venereal, psychic and other diseases in our family, including facts of alcohol, narcotic or toxic drugs abuse.
 
4. We confirm that:
-  We have read the text of the present appeal attentively and understood all information presented to us by employees of the Perinatal Medical Centre «MD PROJECT 2000» CJSC .
-  We realize that the process of stem cells production from umbilical blood is complex medical technology, which does not always result in receiving stem cells in quantity, sufficient for their further successful usage (small amount of umbilical blood, its individual peculiarities, etc).
-  We had a possibility of discussing with a doctor all issues, which are interesting or not clear to us, concerning production, storage and possible usage of stem cells.
-  We were satisfied with the answers of the doctor.
-  We understand the meaning of all expressions, used in the present document.
